Please read these terms carefully before engaging APC Innovate for any products or services.
These terms and conditions govern the supply of goods and services by Auckland Packaging Company Ltd, trading as APC Innovate ("APC Innovate", "we", "us"), to any person or entity ("you", "the client") who places an order for products or services. By placing an order, you accept these terms in full.
All quotes are valid for 30 days from the date of issue unless otherwise stated. Prices are exclusive of GST unless stated otherwise. Pricing is based on the specifications, quantities and artwork provided at the time of quoting — any changes to these may result in a revised quote.
Clients are responsible for ensuring all artwork supplied is accurate, print-ready and free from errors. Where a digital or physical proof is provided, production will not commence until written approval is received. APC Innovate is not liable for errors that remain in artwork approved by the client.
Estimated production and delivery timeframes are provided in good faith but are not guaranteed. APC Innovate will make reasonable efforts to meet agreed deadlines but is not liable for delays caused by factors outside our reasonable control, including but not limited to material supply issues, courier delays or events of force majeure.
Unless otherwise agreed in writing, payment terms are 20th of the month following the date of invoice for approved trade accounts, or payment in full prior to production for new or one-off clients. Overdue accounts may incur interest charges and may result in the suspension of future orders.
All design concepts, prototypes, tooling, dies and artwork created by APC Innovate remain the property of APC Innovate unless otherwise agreed in writing, even where the cost of development has been included in a quoted price. Client-supplied trademarks, logos and brand assets remain the property of the client.
APC Innovate warrants that products will be manufactured in accordance with the agreed specification and to a reasonable standard of workmanship. To the extent permitted by law, APC Innovate's liability for any claim is limited to the cost of the goods or services supplied, and we accept no liability for indirect or consequential loss.
APC Innovate operates under an ACC Workplace Safety Management programme and is committed to reducing the environmental impact of our operations, including the use of recyclable materials where practicable. Clients are encouraged to consider sustainable material options when briefing new projects.
These terms are governed by the laws of New Zealand, and any disputes will be subject to the exclusive jurisdiction of the New Zealand courts.
